The project development and execution function takes the form of introducing counterparties with complimentary interests to the project, structuring and negotiating those counterparty project relationships, handling the formal legal documentation and managing those relationships through the lifecycle of the project.

All of our counterparty relationships are based on trust and have been developed across our chosen sectors and the European, Asian and African continents. These relationships were not built overnight. We take the time to learn about our counterparties both at a personal and organizational level. Fundamentally, all our relationships are based on trust – not only are we transparent in our dealings and intent, clients and counterparties are able to see and assess our capabilities in terms of being able to devise and provide workable solutions to the issues they are facing.

Trust is not just a “feel-good” notion. In our experience, it is the lubricant of all business dealings. With trust in place, there is a solution to almost any problem or issue. The opposite is true without trust.

Counterparties have comfort that when we recommend a project to them, it is because we have taken the time to assess the project, know the sensitivities and have made an assessment that there is a fit. There is no scatter gun approach here!

How We Add Value
DKC adds further value by providing structuring and negotiation advice with respect to the development and execution of counterparty relationships. Our legal and commercial expertise puts us in good stead to handle both the commercial and formal documentation negotiations.
In addition, our project development and execution service extends to executing various functions on an external basis such as the legal function of the project, board advisor and off-take coordinator overseeing the implementation of a diverse off-take strategy and off-taker relationships. DKC also has experience of government advocacy on behalf of clients on nascent sector projects.
We advise clients on the structuring and restructuring of loans, M&A deals, joint ventures, off-take arrangements including take-or-pay and FSRU services arrangements and PPAs, to name a few. We handle initial commercial negotiations through to term sheet and formal documentation.
Deal Sheet

Advising a client on the risks of its current funding arrangements and introducing the client to a blue-chip bank, which had appetite for the associated project risks, for the purpose of re-financing its infrastructure project costs.

DKC advised sponsors of a low carbon fuels project with respect to its off-take arrangements. This involved identifying interested off-takers (trading houses and mining companies) and negotiating and structuring the off-take relationships.

DKC was engaged by a private project sponsor in Asia for the purpose of seeking strategic equity investment into its LNG import terminal. The scope of work involved assessing the local gas market which was somewhat nascent and then identifying investors who would be comfortable with the relevant level of risk.
